These Terms & Conditions govern your access to and use of the Nuvio Engine website, digital services, software products, SaaS applications and related services.

By accessing the Nuvio Engine website, requesting services, creating an account, purchasing a service or using any Nuvio Engine product, you agree to be bound by these Terms.

If you do not agree with the Terms, please do not use the Nuvio Engine website, products or services.

Nuvio Engine is an agency and product studio that provides technology, digital marketing, automation, software development and SaaS solutions.

Services may include website development, mobile application development, custom software development, AI automation and chatbots, SEO, AEO, GEO, Google Business Profile services, social media marketing, email marketing, SMS marketing, business development, lead generation, graphic design, branding, video editing, digital consulting, SaaS products, email sending tools, phone verification tools and other technology or digital services introduced by Nuvio Engine.

By using the Nuvio Engine services, you confirm that you have read and understood these Terms, agree to comply with them, will use the services legally and responsibly, and will provide accurate and current information.

If you use the services for a company or organization, you represent that you have authority to bind that organization to these Terms.

You may use the Nuvio Engine website for business and informational purposes.

You agree not to attempt unauthorized access, interfere with website operations, introduce harmful code, scrape or copy website content without permission, impersonate others, use the website for unlawful activities, bypass security controls, or use automated systems in a way that negatively affects website performance.

Nuvio Engine may restrict or terminate access where reasonably necessary to protect its systems, users or business.

Information displayed on the Nuvio Engine website is provided for informational purposes.

Specific project details are determined by the applicable proposal, statement of work, service agreement, order, invoice, subscription agreement or other written agreement.

These documents may define scope of work, deliverables, project milestones, timeline, pricing, payment schedule, revision limits, client responsibilities, ownership rights, support terms and other project-specific conditions.

If a signed or otherwise applicable written agreement conflicts with these Terms, the specific agreement will generally control for that project or service.

Clients are responsible for providing complete and timely information necessary for Nuvio Engine to perform the services.

Depending on the project, this may include business information, branding materials, website access, hosting access, media access, advertising account access, content, images, videos, product information, customer information, requirements, API credentials or authorized integrations.

You represent that you have the necessary rights, permissions, licenses and authority to provide such information or materials to Nuvio Engine.

Delays caused by missing information, approvals, access, feedback or client-side actions may affect project timelines.

Prices for Nuvio Engine services may vary depending on project requirements, complexity, scope, resources and subscription plan.

Unless otherwise stated in writing, prices are based on the agreed scope of work, additional work outside scope may result in charges, payments must be made according to the agreed schedule, taxes or transaction fees may apply, invoices are payable by the stated date, and late payments may result in suspension or delay of services.

For projects, Nuvio Engine may require an advance payment or milestone-based payments before beginning or continuing work.

Requests that materially change the agreed scope may be treated as additional work.

Examples include additional pages, features, integrations, significant design changes, additional revisions, marketing campaigns, content, software functionality or changes to approved requirements.

Nuvio Engine may provide a revised quotation, timeline or statement of work before performing additional work.

Refund eligibility depends on the nature of the service and the applicable project or subscription agreement.

Because certain services involve time, labor, development resources, advertising setup, research, creative work or other work performed specifically for a client, completed or performed services may not be refundable.

Where a refund is available, the applicable amount and conditions will be determined by the agreement, invoice or subscription terms.

Subscription cancellations generally prevent renewal and do not automatically create a right to a refund for a period already paid for unless otherwise stated.

Nuvio Engine may provide software and SaaS products that operate through websites, applications, browser extensions, APIs or other technology.

Access to a SaaS product may require account registration, subscription, verification, payment and acceptance of product-specific terms.

Nuvio Engine may introduce, modify, improve, suspend or discontinue features from time to time.

Nuvio Engine will make efforts to maintain its products, but does not guarantee that every feature will always be available or unchanged.

Where an account is required, you are responsible for providing information, maintaining account security, protecting login credentials, restricting access, maintaining account confidentiality and all activity occurring through your account.

You must notify Nuvio Engine promptly if you believe your account has been compromised or accessed without authorization.

You may not share, sell, transfer or provide access to your account unless expressly permitted by the applicable product plan or agreement.

You retain ownership of data and information that you submit, upload, transmit or process through Nuvio Engine services.

You grant Nuvio Engine limited rights to provide the services, store and process customer data, transmit information as required, maintain backups, provide customer support, maintain security, prevent fraud and abuse, and comply with obligations.

Nuvio Engine does not acquire ownership of customer data merely because you use Nuvio Engine services.

You are responsible for ensuring that you have the right and appropriate permissions to collect, upload, process or use customer data.

If you use Nuvio Engine email-related products or services, you are responsible for ensuring that campaigns comply with all applicable anti-spam laws, privacy laws, marketing regulations, consent requirements, opt-out requirements, email-provider policies and platform rules.

You must not use Nuvio Engine to send fraudulent messages, phishing campaigns, malware, threats, illegal content, unlawful spam or messages designed to impersonate another person or organization.

Nuvio Engine may terminate accounts that appear to be engaging in abusive, unlawful, fraudulent or harmful activity.

Where Nuvio Engine provides SMS services, customers are responsible for obtaining any consent required by applicable law before sending marketing or other regulated messages.

You are responsible for maintaining consent records, providing required disclosures, honoring opt-out requests, following messaging laws, and following carrier and platform requirements.

Nuvio Engine does not guarantee delivery of every SMS message because delivery may depend on carriers, networks, recipient devices, regulations and third-party systems.

Nuvio Engine may provide phone verification, normalization, validation, duplicate detection, country identification or related data-processing functionality.

Customers are responsible for ensuring that they have the right to process telephone numbers or other information submitted to the service.

You agree not to use phone verification services for surveillance, harassment, fraud, identity abuse or other prohibited activities.

Verification results may depend on third-party data sources, telecommunications networks, databases and technical limitations. Nuvio Engine does not guarantee that verification results will always be completely accurate or current.

You agree to use Nuvio Engine services for lawful and legitimate purposes.

You must not use the services to commit fraud, facilitate illegal activities, conduct phishing, distribute malware, harass or threaten individuals, infringe intellectual-property rights, violate privacy rights, impersonate individuals or organizations, circumvent security systems, abuse APIs or third-party platforms, attack or disrupt systems, conduct spam, process data without authorization, redistribute services without permission, reverse engineer proprietary source code, or circumvent usage limits or security controls.

Nuvio Engine may investigate suspected violations and take action.

Unless otherwise agreed in writing, Nuvio Engine has appropriate rights to website content, logos, branding, designs, graphics, templates, software, source code, product interfaces, documentation, proprietary processes, AI systems, automation workflows, marketing materials, product names, trademarks and related intellectual property.

Nuvio Engine intellectual property may not be copied, reproduced, distributed, modified, reverse engineered, resold or commercially exploited without written permission from Nuvio Engine.

Clients retain ownership of materials they provide to Nuvio Engine, including logos, brand assets, text, images, videos, product information, business information and customer data.

Clients grant Nuvio Engine permission to use these materials as reasonably necessary to provide the agreed services.

Clients represent that they have the rights to provide these materials.

Nuvio Engine may integrate with or rely on third-party platforms, APIs, hosting providers, advertising networks, payment processors, communication providers, analytics services and other external services.

Examples may include Google, Meta, Microsoft, LinkedIn, email service providers, SMS providers, cloud hosting providers, payment processors, analytics platforms, AI service providers and third-party APIs.

Third-party services operate under their own terms, policies, pricing and availability.

Nuvio Engine is not responsible for changes, outages, restrictions, account suspensions, pricing changes or policy decisions made by third-party platforms.

Nuvio Engine works to provide measurable services; however, Nuvio Engine does not guarantee specific business results.

Unless expressly guaranteed in a written agreement, Nuvio Engine does not guarantee search-engine rankings, number of leads, sales, revenue, advertising performance, email open rates, email response rates, conversion rates, social media growth, app-store approval, third-party platform approval, traffic levels or specific return on investment.

Results may depend on factors outside Nuvio Engine control.

Certain Nuvio Engine services may use artificial intelligence, machine learning, automation or third-party AI technologies.

AI-generated results may contain errors, omissions, inaccuracies or unexpected outputs.

You are responsible for reviewing and approving AI-generated content before using it for business, legal, financial, medical or other high-impact purposes.

Unless expressly agreed otherwise, AI output should not be treated as legal, financial, medical or regulatory advice.

Each party may receive business, technical, financial, operational or other non-public information from the other party.

Each party agrees to take steps to protect confidential information and use it only for legitimate purposes related to the business relationship.

Confidentiality obligations do not generally apply to information that is publicly available without breach, was already lawfully known, is independently developed, is lawfully received from another source, or must be disclosed by law or legal process.

Where a separate non-disclosure agreement exists, that agreement may provide confidentiality obligations.

Nuvio Engine uses technical and organizational measures designed to protect systems and information.

However, no internet service or electronic system can be guaranteed to be completely secure.

You are responsible for maintaining the security of your accounts, credentials, devices, systems and third-party integrations.

Nuvio Engine aims to provide continuous services but does not guarantee uninterrupted availability.

Services may occasionally be affected by maintenance, software updates, hosting failures, internet outages, API changes, third-party outages, cybersecurity incidents, network problems, force majeure events or other circumstances outside Nuvio Engine reasonable control.

Nuvio Engine will make efforts to restore affected services when practical.

Nuvio Engine may terminate access to services where reasonably necessary, including when you violate these Terms, payment obligations are overdue, you engage in prohibited activity, abuse systems, create security risks, misuse third-party services, provide fraudulent information or create operational risk.

Where appropriate, Nuvio Engine may provide notice and an opportunity to resolve the issue.

Termination does not automatically eliminate obligations that by their nature should continue after termination.

Following termination of a service or account, customer data may be retained for a period where necessary for legal compliance, security, fraud prevention, backup systems, dispute resolution, accounting or recordkeeping.

Where technically feasible, customers may request export or deletion of their data subject to contractual and legal requirements.

To the extent permitted by applicable law, Nuvio Engine services are provided on an as-is and as-available basis.

Nuvio Engine does not guarantee that services will always be uninterrupted, error-free, available, accurate, integrated with third parties, or able to achieve a business outcome.

Nothing in these Terms excludes any legal rights or warranties that cannot lawfully be excluded.

To the extent permitted by applicable law, Nuvio Engine shall not be liable for indirect, incidental, special, consequential, exemplary or punitive damages arising from or related to your use of Nuvio Engine services.

This may include losses relating to lost profits, lost revenue, lost business opportunities, loss of goodwill, business interruption, third-party platforms or circumstances outside Nuvio Engine reasonable control.

Where permitted by applicable law, Nuvio Engine's total liability relating to a service will be limited to the amount actually paid by the customer to Nuvio Engine for that particular service during the applicable period preceding the event giving rise to the claim.

This limitation does not apply where liability cannot legally be limited or excluded.

To the extent permitted by law, you agree to defend, indemnify and hold harmless Nuvio Engine, its owners, employees, contractors and service providers from claims, damages, liabilities, losses and reasonable expenses arising from your violation of these Terms, unlawful use of the services, customer data, violation of another person's rights, violation of laws, misuse of third-party platforms, marketing communications or unauthorized use of Nuvio Engine services.

Your use of Nuvio Engine is also governed by our Privacy Policy.

Our Privacy Policy explains how we collect, use, store, protect and process information.

Privacy principles include transparency, data minimization, security, no data selling, limited access, user rights, processing customer data as reasonably necessary, limited retention and customer responsibility for lawful data collection and use.

You agree to use Nuvio Engine services in compliance with all laws and regulations.

Depending on the service and your location, this may include laws relating to privacy, data protection, email marketing, SMS marketing, consumer protection, intellectual property, advertising, telecommunications, anti-spam requirements and data security.

Nuvio Engine does not provide advice regarding your specific compliance obligations.

Nuvio Engine will not be responsible for delays or failures caused by circumstances beyond Nuvio Engine control.

These may include disasters, war, government action, internet infrastructure failures, major cybersecurity events, telecommunications failures, power outages, pandemics, third-party service failures, labor disruptions or other extraordinary events.

Nuvio Engine may modify, improve, add, remove, suspend or discontinue portions of its services.

Nuvio Engine may also introduce features that are subject to additional terms.

Where reasonably appropriate, Nuvio Engine may provide notice of material changes.

Nuvio Engine may change these Terms from time to time.

When changes occur, Nuvio Engine will update the updated date on this page.

If you keep using the services after the updated Terms become effective, that means you accept the Terms as far as the law allows.

If a change truly affects an existing contract, Nuvio Engine may give notice when needed.

These Terms must be read in line with law.

Before legal action, both parties should try to settle disputes honestly by talking directly.

Nothing in this part stops a party from using rights or remedies that the law does not allow to be waived or limited.

If a client agreement has its own governing-law or dispute-resolution rules, those rules will control that agreement.

If any part of these Terms is found invalid, illegal or cannot be enforced, that part will be changed as little as possible and the rest of the Terms will still apply.

If Nuvio Engine does not enforce a part of these Terms now, that does not mean Nuvio Engine gives up the right to enforce it later.

These Terms, with any applicable Privacy Policy, service agreement, statement of work, proposal, invoice, subscription terms, data processing agreement or other written agreement, make up the agreement between you and Nuvio Engine about the relevant services.

Before using Nuvio Engine, please remember to use our services responsibly, give accurate information, keep account credentials safe, pay invoices as agreed, respect Nuvio Engine intellectual property, upload or process only data you are legally allowed to use, follow all applicable email and SMS marketing laws, follow third-party platform policies, check AI-generated content before using it for important purposes, understand that business results are not always guaranteed, understand that third-party platforms can affect services, contact us if you think your account or information has been compromised, and read our Privacy Policy to learn how we process data.
